Liquidated vs consequential damages, and the A201 mutual waiver

One-line orientation

Liquidated damages are preset delay damages; consequential damages are indirect losses and are mutually waived by owner and contractor under A201.

Key points

  • Liquidated damages (LDs):
    • A predetermined sum, usually per day of delay, stated in the contract.
    • The owner recovers it without proving actual loss — the parties agreed up front it is a reasonable estimate.
    • Must be a reasonable forecast of delay damages, not a penalty. A figure that functions as a penalty can be struck down as unenforceable.
    • Purpose: give the owner a clear remedy for late completion and the contractor cost certainty about the consequence of delay.
  • Consequential damages:
    • Indirect losses caused by a breach: lost profit, loss of use or rental income, lost financing, loss of reputation/bonding capacity.
    • Generally must be proven and are often large and speculative.
    • Distinguish from direct/actual damages (the cost to repair or complete the defective work), which are not waived.
  • A201 mutual waiver: Under A201-2017 Section 15.1.7, owner and contractor mutually waive consequential damages against one another. This is a deliberate risk-allocation tool — it removes the most unpredictable category of exposure from the construction contract.
